Freelance Services Agreement
1. Parties
This Freelance Services Agreement ("Agreement") is entered into as of the date of the last signature below by and between Your Name ("Contractor") and Client Name ("Client"). The Contractor and the Client are each a "Party" and together the "Parties."
2. Scope of Work
The Contractor agrees to perform the following services for the Client (the "Services"): Describe the work you'll deliver.. Any work outside this scope will be agreed in writing before it begins.
3. Compensation
In exchange for the Services, the Client will pay the Contractor a fixed fee of $5,000. Fifty percent (50%) of the fee is due before work begins and the remaining fifty percent (50%) upon completion.
4. Timeline & Deliverables
The Contractor will begin the Services on a date agreed by the Parties and will work to complete them until the work is complete. Timelines depend on the Client providing required materials, approvals, and feedback in a timely manner.
5. Revisions
The fee includes up to 2 round(s) of revisions on the deliverables. Additional revisions will be billed at the Contractor's standard rate.
6. Intellectual Property
Upon receipt of full payment, the Contractor assigns to the Client all right, title, and interest in the final deliverables created specifically for the Client under this Agreement. Until full payment is received, the Contractor retains all ownership. The Contractor may display the work in a portfolio unless the Parties agree otherwise.
7. Confidentiality
Each Party may receive confidential information from the other. Each Party agrees to keep the other's confidential information private and to use it only to perform this Agreement. This obligation continues after the Agreement ends.
8. Termination
Either Party may terminate this Agreement with written notice. Upon termination, the Client will pay the Contractor for all Services performed and expenses incurred up to the termination date.
9. Independent Contractor Status
The Contractor is an independent contractor, not an employee of the Client. The Contractor is responsible for their own taxes, insurance, and equipment and controls how and when the Services are performed. Nothing in this Agreement creates a partnership, joint venture, or employment relationship.
10. Governing Law
This Agreement is governed by the laws of the state in which the Contractor is based, without regard to its conflict-of-laws rules.
11. Entire Agreement
This Agreement is the entire agreement between the Parties on this subject and replaces any prior discussions. Any changes must be in writing and signed by both Parties. If any provision is found unenforceable, the rest of the Agreement remains in effect.
