Terms of Service

1. Acceptance of Terms

By accessing or using Frelo ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all visitors, users, and others who access the Service.

2. Description of Service

Frelo is a freelancer management platform that provides tools for managing clients, projects, invoices, time tracking, expenses, contracts, and client portals. The features available to you depend on the plan you are subscribed to. Feature availability is described on the pricing page at frelo.app/pricing.

3. Account Registration & Responsibilities

To use Frelo, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you believe your account has been compromised, notify us immediately at braxtonwest3@gmail.com.

4. Acceptable Use

You agree not to use Frelo to: (a) violate any applicable law or regulation; (b) send spam, phishing messages, or other unsolicited communications; (c) impersonate any person or entity; (d) upload malicious code or interfere with the Service's infrastructure; (e) scrape, crawl, or harvest data from the Service without permission; or (f) resell or sublicense the Service. We reserve the right to suspend accounts that violate these rules.

5. Billing & Cancellation

Paid plans are billed monthly or annually via Stripe. By subscribing, you authorize Frelo to charge your payment method on a recurring basis. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not issue refunds for the current billing period, including for unused time.

6. Free Tier & Paid Plans

Frelo offers a free tier with limited features. Paid plans unlock additional functionality as described on the pricing page. Frelo reserves the right to modify, limit, or discontinue any plan or feature with reasonable notice. If we make changes that materially reduce your paid plan's functionality, we will notify you at least 30 days in advance.

7. Your Data & Intellectual Property

You retain full ownership of the data you upload or create in Frelo — your clients, invoices, contracts, and files are yours. You grant Frelo a limited license to store, process, and display that data solely to provide the Service to you. Frelo owns the platform, codebase, brand, and all intellectual property that constitutes the Service itself. Nothing in these terms transfers any Frelo IP to you.

8. Termination

You may close your account at any time from your account settings. Frelo may suspend or terminate your account at any time, with or without notice, if you violate these terms or if we reasonably believe your use poses a risk to the Service or other users. Upon termination, your right to access the Service ceases immediately. We will retain your data for 30 days after termination, after which it may be permanently deleted.

9. Disclaimers of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Frelo does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Limitation of Liability

To the maximum extent permitted by law, Frelo's total liability to you for any claim arising out of or related to these terms or your use of the Service shall not exceed the total amounts you paid to Frelo in the twelve (12) months prior to the event giving rise to the claim. In no event shall Frelo be liable for any indirect, incidental, special, consequential, or punitive damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless Frelo and its owners, officers, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these terms, or your violation of any third-party rights.

12. Governing Law & Dispute Resolution

These terms are governed by the laws of the State of Michigan, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these terms or the Service shall be resolved exclusively in the state or federal courts located in Michigan, and you consent to personal jurisdiction in those courts.

13. Severability & Entire Agreement

If any provision of these terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect. These terms, together with our Privacy Policy, constitute the entire agreement between you and Frelo regarding the Service and supersede all prior agreements.

14. Changes to These Terms

We may update these Terms of Service from time to time. If we make material changes, we will notify you by email or by posting a notice in the Frelo dashboard at least 30 days before the change takes effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated terms.
